Service Agreement

Effective Date: July 21, 2025

1. Agreement Overview

This Service Agreement ("Agreement") is entered into by and between [Zgale LLC] ("Service Provider," "we," "us") and the customer ("Customer," "you") for the provision of services. By using our services, you agree to the terms and conditions outlined in this Agreement.

2. Services Provided

We provide the following services:

• Cathaya Client

3. Term and Termination

This Agreement begins on the effective date and will continue until terminated by either party. Either party may terminate this Agreement at any time with 30 days written notice.

4. Payment Terms

The Customer agrees to pay for the services according to the pricing outlined on our website or in a separate written agreement. Payments are due upon receipt of an invoice, and late payments may incur interest charges.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information received during the course of this Agreement, including but not limited to business processes, technologies, or customer data.

6. Limitation of Liability

In no event shall the Service Provider be liable for any indirect, incidental, special, or consequential damages arising from the use of services. The maximum liability shall be limited to the amount paid by the Customer for services rendered in the past 12 months.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws , without regard to its conflict of law principles.

8. Amendments

This Agreement may be amended or updated by the Service Provider at any time. We will notify you of any changes, and your continued use of the services will constitute acceptance of the revised Agreement.

9. Dispute Resolution

Any disputes arising under this Agreement shall be resolved through binding arbitration , pursuant to the rules of the American Arbitration Association.
